1. About The Market

The Market is a Canadian online marketplace that connects Customers with independent Consultants for one-on-one advisory sessions. The Market provides the technology, booking infrastructure, payment processing, session hosting, and AI-enabled tools that facilitate these engagements.

The Market is a marketplace intermediary only. The Market is not responsible or liable for the quality, accuracy, completeness, legality, timeliness, reliability, or outcomes of any session, advice, or information provided through the Platform. You are solely responsible for evaluating, and assume all risk of relying on, any advice or information you receive. The relationship you form through a booking is directly between you and the Consultant.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, and without liability to you.

2. Eligibility

The Platform is intended for adults and business users. To access or use the Platform, you must:

  • be at least 18 years of age;

  • have the legal capacity to enter into binding contracts under applicable law;

  • not be subject to a suspension or ban imposed by The Market; and

  • not be prohibited from using the Platform under any applicable law, sanction, or regulation.

3. Platform Access and Communications

3. Platform Access and Communications

Customers provide their personal information at the time they book a session, and once a booking is made, all correspondence relating to the booking — including confirmations, reminders, and updates — will be sent to them by email and/or SMS. When you provide information or book a session through the Platform, you agree to:

  • provide accurate, current, and complete information;

  • promptly notify us at support@themanagersplaybook.com of any error in your booking details or any suspected unauthorized use of your information; and

  • accept responsibility for activity carried out using your information on the Platform.

For Consultants in specific, they provide their personal information when they apply and complete onboarding, and access the Platform through a Consultant profile, as governed by the Consultant Agreement. Consultants also receive correspondence relating to their bookings, including confirmations, reminders, and updates, by email and/or SMS.

The Market reserves the right to refuse, suspend, or terminate access to the Platform or any booking at its sole discretion, including for policy violations, suspected fraud, abuse, or conduct harmful to The Market, other users, or third parties.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with all applicable laws and these Terms. You must not:

  • use the Platform for any unlawful, fraudulent, abusive, harassing, threatening, defamatory, or harmful purpose;

  • misrepresent your identity, credentials, organization, role, or the nature of any inquiry;

  • submit false, misleading, or inaccurate information in any account, booking, form, or communication;

  • attempt to circumvent the Platform’s booking, payment, or session infrastructure;

  • record sessions by any means other than through the Platform’s provided recording features without all participants’ express consent;

  • use the Platform to transmit unsolicited commercial messages, spam, or promotional materials;

  • upload or transmit malicious code, viruses, or any content that could damage, disable, or interfere with the Platform or any related systems;

  • attempt to gain unauthorized access to any part of the Platform, other user accounts, or third-party systems connected to the Platform;

  • use automated tools, bots, scrapers, crawlers, or similar technologies to access, collect, or extract data from the Platform without express written permission;

  • infringe the intellectual property, privacy, or other rights of The Market, other users, or any third party; or

You represent and warrant that you have all rights necessary to grant this licence and that your content does not infringe the intellectual property, privacy, or other rights of any third party.

5.3. Session Recordings and AI Outputs

Both policies are available at themanagersplaybook.com and are incorporated by reference into these Terms and all role-specific documents.

Sessions on the Platform may be recorded, transcribed, and processed by AI as described in the applicable privacy policy and role-specific terms. By participating in a session, all participants consent to such recording and processing.

You are responsible for obtaining any consents required from third parties whose personal information you submit to the Platform or introduce to a session.

7. Third-Party Services

The Platform integrates with and relies on third-party services, including payment processors, video hosting providers, calendar tools, AI providers, SMS and email services, and cloud infrastructure providers. Your use of the Platform may involve the processing of your information by these third-party services under their own terms and privacy policies.

The Platform may contain links to third-party websites or resources. The Market does not endorse and is not responsible for the content, privacy practices, availability, or terms of any third-party website or service. Accessing third-party websites or services is at your own risk.

8. Platform Availability and Modifications

The Market provides the Platform on an “as available” basis. The Market does not guarantee that the Platform will be available at any particular time, that it will be uninterrupted or error-free, or that any defects will be corrected.

THE MARKET DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR FITNESS FOR ANY PURPOSE OF ANY CONTENT, AI-GENERATED OUTPUT, CONSULTANT PROFILE INFORMATION, OR OTHER INFORMATION ON THE PLATFORM. AI-GENERATED CONTENT MAY BE INACCURATE OR INCOMPLETE AND SHOULD BE REVIEWED BEFORE RELIANCE.

THE MARKET MAKES NO WARRANTY THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MARKET, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14.3. No Waiver

The Market’s failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver by The Market must be in writing and signed by an authorized representative to be effective.

14.4. Assignment

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms or any role-specific document without The Market’s prior written consent.
